Governance Manager

Job Purpose

The Governance Manager will strengthen the organization’s corporate governance structure by supervising governance-related activities, supporting compliance with relevant laws, regulations, and approved internal policies, and helping maintain clear lines of accountability across the business. The role is responsible for ensuring governance oversight is handled effectively, reports are prepared accurately and on time for senior leadership, and a culture of transparency, responsibility, risk awareness, and sound decision-making is actively promoted.

Responsibilities

• Shape and maintain the corporate governance framework and operating model.
• Track governance activities and ensure appropriate oversight across the organization.
• Prepare governance reports, manage escalation matters, and coordinate with the Audit Committee as needed.
• Review and align policies with regulatory requirements and internal standards.
• Support whistleblowing processes and uphold ethical governance practices.
• Provide guidance, awareness, and advisory support to help teams make informed decisions.
• Lead and manage assigned team members or governance-related staff.
• Contribute to planning and budgeting for governance activities.
• Maintain and improve policies, systems, processes, procedures, standards, and reporting mechanisms.

Requirements

• A bachelor’s degree in law or a closely related discipline is required.
• A minimum of 7 years of relevant professional experience is required.

This position is based in Al Madinah Al Munawwarah, Al Madinah, Saudi Arabia, and is a full-time onsite role.
