Role Overview
A prominent global asset management company is looking for a Paralegal or Senior Paralegal to join their dynamic and cooperative team in New York City. The selected candidate will aid attorneys in corporate legal matters, including regulatory filings, public disclosures, corporate governance, and document and records management.
Work Schedule and Location
This position requires presence in the NYC office four days a week, with working hours from 8:30 AM to 5:30 PM.
Compensation
The role offers a base salary ranging from $80,000 to $100,000 depending on experience, complemented by a discretionary bonus and comprehensive benefits.
Key Duties
- Collaborate closely with corporate attorneys handling public company and reporting responsibilities, including the firm’s Real Estate Investment Trust (REIT) and four international affiliates.
- Organize and prepare materials for board and committee meetings, attend meetings in person, and provide on-site support.
- Engage regularly with company directors and senior management personnel.
- Prepare, draft, and review filings for the U.S. Securities and Exchange Commission (SEC).
- Manage corporate governance aspects and compliance by creating reports, filings, and communications with the New York Stock Exchange (NYSE).
- Support in earnings releases and conference calls, including managing related in-office events.
- Maintain minute books and corporate records accurately.
- Draft and oversee corporate press releases.
- Gather and process questionnaires from directors and officers.
- Offer continuous support on corporate governance, regulatory compliance, and strategic corporate transactions, including public securities offerings and reorganizations.
- Assist with reviewing commercial and vendor contracts as well as non-disclosure agreements.
- Handle the execution and safe storage of original corporate documents.
- Maintain up-to-date legal entity data, organizational charts, and subsidiary details for both domestic and international entities.
- Manage and uphold corporate compliance policies effectively.
Candidate Requirements
- A minimum of 1 to 3 years of pertinent experience.
- Bachelor’s degree in any discipline.
- Comfortable and proficient with Microsoft Office; quick to adapt to new software and databases.
- Strong attention to detail and meticulous approach to all tasks.
- Ability to work independently, using sound judgment, while managing multiple priorities simultaneously.
- Possess analytical and conceptual thinking abilities to quickly understand issues and propose practical solutions.
- Demonstrate high professional integrity and maintain exemplary conduct.
- Strong team player with collaborative skills, able to work effectively within cross-functional and matrix organizational structures.
