Position Summary
We are looking for a meticulous Paralegal to assist our legal department, particularly focusing on contract management, routine contract and NDA review, corporate governance, and adherence to regulatory compliance. The successful candidate will be highly organized, discreet, and adept at handling a large volume of documents while collaborating closely with attorneys and cross-departmental teams.
Key Responsibilities
- Prepare, review, and revise NDAs and standard commercial contracts using authorized templates and guidelines, escalating any non-standard contract terms to supervising counsel.
- Develop and implement a contract management framework, which includes creating intake processes, templates, and workflows for standardized contract handling organization-wide.
- Oversee the entire contract lifecycle—from intake through tracking, execution, and archiving—ensuring the contract database is comprehensive and accurate.
- Monitor critical contract milestones such as renewal dates, expirations, and termination opportunities, and alert relevant parties as needed.
- Support corporate governance by drafting board and committee meeting materials, resolutions, minutes, and maintaining official corporate records including minute books.
- Assist with entity management tasks such as maintaining compliance across jurisdictions, coordinating annual filings, and preparing documentation for entity formation and dissolution.
- Assist regulatory compliance operations by maintaining records, supporting policy adherence, managing filings, and monitoring legal compliance.
- Perform foundational legal research and summarize findings to support attorneys on corporate governance and compliance topics.
- Manage signature gathering and contract execution via electronic signature platforms.
- Respond to internal department inquiries regarding contract statuses and standard terms.
- Help organize and review documents for due diligence during corporate transactions.
- Liaise with external intellectual property counsel regarding IP matters, including tracking deadlines and maintaining internal IP records.
Candidate Requirements
- Possess a paralegal certificate or bachelor's degree; equivalent relevant experience also considered.
- Minimum of three years' experience as a paralegal, preferably within corporate legal teams or law firms specializing in corporate practice.
- Knowledge of NDAs, standard commercial agreements, corporate governance protocols, and regulatory compliance processes.
- Exceptional organizational skills with keen attention to detail and the ability to juggle multiple deadlines effectively.
- Proficiency using contract management systems, electronic signature solutions, and Microsoft Office applications.
- Strong written and oral communication abilities along with sound judgment for handling sensitive and confidential information.
Preferred Qualifications
- Experience with contract lifecycle management (CLM) software platforms.
- Background in designing and deploying contract management systems.
- Familiarity with entity management tools and managing multi-jurisdictional compliance filings.
- Knowledge of intellectual property administration, especially trademark processes and IP recordkeeping.
- Prior involvement supporting regulatory compliance within relevant industries.
- Notary commission or willingness to obtain one.

- Competitive salary ranging between 100000 and 160000 USD annually, including base pay and restricted stock units; final salary depends on expertise, experience, and education.
