The Corporate division at Imperial boasts over 140 years of history in Canada, currently headquartered in Calgary, Alberta, with plans to relocate to Edmonton by mid-2028. The successful candidate will be based in Edmonton, with some travel to Calgary until the relocation is completed.

Role Overview

The Corporate Paralegal will play a crucial role supporting the Corporate Secretary and Board Secretariat team to ensure effective governance, compliance, and administrative operations. This highly organized and proactive role involves managing board and committee activities while upholding confidentiality and professionalism.

Key Responsibilities

  • Assist in planning, scheduling, and coordinating meetings for the Board of Directors and committees, including drafting agendas in partnership with the Corporate Secretary, Board Chair, and senior management.
  • Compile and distribute meeting documents using the Nasdaq Boardvantage portal, attend meetings, and prepare accurate draft minutes promptly.
  • Provide logistical support for meetings, including venue arrangements and virtual meeting technology coordination.
  • Support annual meeting preparations and facilitate director onboarding.
  • Track action items and coordinate follow-ups with responsible parties.
  • Maintain corporate records and minute books for Imperial Oil Limited and approximately 30 affiliated entities.
  • Prepare and file annual returns and other corporate filings, draft directors’ and shareholders’ resolutions, and manage director/officer changes and associated filings.
  • Support entity formation, dissolution, amalgamation, and reorganization processes.
  • Maintain corporate organizational charts and entity databases.
  • Assist with regulatory filings and governance disclosures pertinent to a public issuer.
  • Ensure confidential files are securely handled and perform various administrative tasks to enhance Secretariat efficiency.

Preferred Qualifications and Experience

  • Diploma or certificate in Paralegal Studies or Legal Assistant Program.
  • Minimum of 2 years in a corporate paralegal role, preferably with experience in a public company or law firm.
  • Alberta CORES certification (Level 2 or 3 preferred).
  • Experience managing multiple corporate entities across different jurisdictions.
  • Proven ability to support boards of directors and prepare comprehensive meeting minutes.
  • Advanced skills in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Exceptional verbal and written communication abilities.
  • High standards of professionalism, discretion, and integrity.
  • Strong organizational skills and capability to handle multiple tasks simultaneously.
  • Detail-oriented with a proactive and problem-solving approach.
  • Effective communication, interpersonal, and conflict resolution skills within diverse teams.
  • Flexibility to adapt to shifting priorities, including availability during non-standard hours as required.
