About the Role
The Flynn Group of Companies is inviting applications for an experienced Corporate Law Clerk to be based at their Mississauga office. This role supports the Senior Vice President Legal and General Counsel by managing various corporate legal processes for Flynn’s operations across Canada and the United States. The candidate must demonstrate strong expertise in private company commercial structures and transactional work.
Key Responsibilities
- Prepare and file corporate and extra-provincial registrations for Flynn entities in Canada and the US.
- Assist legal counsel with preparation and closing of corporate transactions such as reorganizations, financings, mergers, and acquisitions.
- Draft director and shareholder resolutions and maintain minute books, registers, and ledgers.
- Handle annual corporate proceedings including officer/director elections, appointments, and resignations.
- Update corporate governance documentation and assist in drafting other legal agreements.
- Maintain both electronic and physical minute books and legal files.
- Communicate with shareholders, prepare necessary documents, and facilitate their execution.
- Coordinate with external providers for incorporations, searches, and corporate upkeep.
- Advise registered agents on entity changes and manage invoice payments.
- Maintain organizational charts, lists, and track key expiry and due dates.
- Process legal invoices.
- Collaborate with Finance, Human Resources, and other internal teams to keep data about corporations and shareholders current.
Required Qualifications
- Post-secondary diploma in Law Clerk or related field.
- At least 7 years of experience in corporate or law firm environments.
- Proven ability drafting corporate filings, registrations, and supporting commercial transactions.
- Familiarity with federal and provincial corporate government websites and online filing procedures.
- Experience servicing a large internal shareholder base is a significant advantage.
- Strong knowledge of corporate law terminology and regulations at both federal and provincial levels.
- Capable of working independently with minimal supervision and efficiently prioritizing tasks.
- Exceptional organizational skills including file and document management.
- High accuracy and attention to detail.
- Excellent verbal, written, and interpersonal communication skills; able to work solo or collaboratively in teamwork settings.
- Maintain confidentiality and professionalism at all times.
- Proficient in Microsoft Word, Outlook, Excel, and Adobe Acrobat.
- Knowledge of construction industry practices is a valuable asset.
