Role Summary

The Commercial Counsel will have between two to four years of experience in-house or at a law firm, specializing in commercial contracts and cross-functional business legal support. You will primarily provide legal guidance for software, services, and vendor agreements, draft and negotiate diverse commercial contracts, and assist with general corporate legal matters. The role requires a collaborative, business-oriented mindset to manage multiple contractual workflows efficiently in a dynamic setting.

Key Responsibilities

Prepare, negotiate, and modify a variety of commercial agreements such as SaaS contracts, vendor agreements, MSAs, SOWs, professional services agreements, data protection addenda, NDAs, and other specialized commercial documents.
Collaborate closely with departments including Sales, Procurement, Finance, and Operations to facilitate deal progression and deliver practical legal advice.
Help enhance and maintain contract templates, negotiation guidelines, and internal contract management processes.
Offer clear and business-relevant legal interpretations concerning contract clauses, risk distribution, data security, and compliance, specifically for SaaS and service-related offerings.
Stay up-to-date with SaaS, human capital management (HCM), and associated industry standards for legal risk management.
Support document retention policies and regulatory compliance initiatives as they arise.
Work with Marketing to review legal aspects of press releases, sponsorship deals, and event-related contracts.
Assist in managing the company's intellectual property assets.
Contribute to litigation support by collecting documents, maintaining case files, and aiding legal strategies when necessary.

Minimum Qualifications

Juris Doctor degree from an ABA-accredited law school with a valid active license to practice law in at least one US jurisdiction.
Between two to four years of relevant commercial contracting experience from either a law firm or corporate legal department.
Proven skills in drafting, negotiating, and communicating complex legal topics in an accessible manner.
Demonstrated ability to juggle multiple priorities and work collaboratively across business functions.
Preferred familiarity with legal issues related to SaaS, technology contracts, or HCM.
