The opportunity
This position is suited to a lawyer with a strong corporate practice developed in a large international or regional top-tier firm. The work is varied and will cover a wide mix of corporate matters, including mergers and acquisitions, joint ventures, international commercial work, employment issues, and corporate restructuring.
The role is intended to be based in Cairo, Egypt, while the successful candidate will sit within the regional Corporate team and contribute to matters spanning the GCC and wider Middle East.
What you will do
- Provide guidance to clients on mergers and acquisitions, joint ventures, and equity investments, with limited supervision.
- Review, prepare, and negotiate transaction documents such as share and asset purchase agreements, disclosure letters, joint venture and investment agreements, and other related corporate documentation.
- Carry out legal due diligence and produce due diligence reports.
- Work closely with the regional Corporate team and assist partners and senior associates as needed.
- Draft legal advice and formal opinions.
- Support a broader range of commercial matters when required.
- Build strong working relationships with clients and colleagues, and help maintain and grow those relationships over time.
- Help manage the delivery of services for complex and demanding clients.
- Spot and pursue business development opportunities by supporting existing client relationships and identifying prospective clients.
- Make sure work is delivered in line with firm processes, professional guidance, and quality expectations.
- Work within agreed budgets while managing client expectations effectively.
- Prepare articles and publications.
- Keep work organised and structured so matters move forward efficiently.
- Advise on commercial, employment, corporate, capital markets, mergers and acquisitions, and transaction-related matters.
- Handle corporate legal processes including mergers, splits, capital increases and reductions, structuring and restructuring, routine corporate procedures and approvals, drafting and approving minutes, and setting up, converting, and liquidating different company forms under applicable Egyptian laws, including dealing with the relevant government bodies.
