Role Overview
As a Corporate Secretariat Associate reporting to the Company Secretary, you will execute a comprehensive range of corporate secretarial tasks. Your responsibilities will include company incorporation, drafting directors' and shareholders' resolutions, compliance submissions for AGMs, EGMs, and annual returns, and managing a team of corporate secretariat professionals.
Key Responsibilities
- Deliver daily corporate secretarial assistance for a portfolio of companies within the Group, including preparing resolutions and ensuring timely filings of statutory documents such as AGM, EGM, and annual returns.
- Collaborate with cross-functional teams to prepare Singtel's annual report, corporate governance report, and facilitate AGM proceedings.
- Prepare and supervise the compilation of secretarial documents, attend board and general meetings, and accurately record minutes.
- Provide secretarial and legal assistance for corporate actions such as share issues, scrip dividends, and rights issues.
- Support special projects, including establishing new subsidiaries locally and internationally and managing employee share schemes.
- Consult and advise internal clients on corporate secretarial compliance and governance matters.
- Coordinate with overseas colleagues and external company secretarial agents regarding subsidiaries abroad.
- Maintain and update statutory company records within the assigned portfolio.
- Perform lodgement of statutory documents with ACRA and SGX.
- Ensure the upkeep and accuracy of the corporate database.
Skills & Qualifications
- Minimum diploma or bachelor's degree with relevant experience in corporate secretarial work.
- At least three years of experience in company secretarial duties within an SGX-listed company.
- In-depth knowledge of the Singapore Companies Act (Cap 50) and SGX Listing Manual requirements.
- Familiarity with ACRA BizFile and SGX filing procedures, alongside proficiency in Microsoft Office applications.
- Strong interpersonal skills, capable of effective collaboration across various functions and organizational levels.
- Excellent communication, documentation, and negotiation capabilities.
- Self-motivated team player with sound people management skills.
- Ability to manage tight deadlines while thriving in a fast-paced environment.
