Role Overview

We seek an experienced Commercial Counsel to establish the legal foundations for our rapidly growing AI business. You will collaborate with cross-functional teams spanning Sales, Security, Product, and Leadership, leading negotiations on complex enterprise SaaS contracts and enhancing contracting operations to stimulate revenue growth, safeguard the company, and build scalable legal frameworks.

Key Responsibilities

  • Review and negotiate commercial contracts, consistently balancing legal risk with business objectives and adapting guidance to the context and phase of deals.
  • Foster collaborative relationships across the company, acting as a solution-oriented advisor to sales and other teams based on company technology, market standards, and legal expertise.
  • Define and implement exemplary legal team practices within a high-growth startup, setting operational norms and processes for exceptional service delivery.
  • Develop, maintain, and enforce contracting policies and controls.
  • Adapt and expand responsibilities as Decagon scales, potentially extending beyond commercial legal matters.

Candidate Profile

  • Licensed attorney with at least 4 years of legal practice, including experience at a top-tier law firm or relevant in-house legal role.
  • Proficient in drafting, negotiating, and closing a high volume of commercial contracts such as SaaS agreements, MSAs, SOWs, NDAs, DPAs, and partner or reseller agreements.
  • Knowledgeable of legal frameworks such as GDPR, CCPA, HIPAA, with understanding of security, AI governance, and intellectual property considerations specific to SaaS transactions.
  • Adept at balancing legal risks with business results and skilled at tailoring legal guidance to suit specific deal contexts and stages.
  • Experienced collaborating cross-functionally and serving as the primary legal resource for Sales, Finance, Product, and Revenue Operations teams while building global contracting processes.
  • Effective communicator who can distill complex legal risks into practical advice for diverse stakeholders, including less sophisticated counterparties, and who approaches challenges with humility.
  • Flexible, eager to learn, able to thrive amid fast-paced growth and ambiguity while developing scalable legal systems that promote business momentum.

Preferred Qualifications

  • Prior in-house legal experience at high-growth SaaS or technology companies.
  • Process-oriented mindset with exposure to Contract Lifecycle Management tools and Salesforce integrations, often partnering with Revenue or Legal Operations.
  • Experience leading contract negotiations with enterprise clients, especially those in highly regulated sectors such as financial services, healthcare, and public sectors.
  • Familiarity with negotiating AI-specific contract terms and the ability to clearly summarize typical issues.
  • Developed and maintained legal playbooks, fallback clause libraries, and approval workflows.

Compensation and Benefits

The compensation range for this role is $235,000 to $260,000 annually plus equity participation.
