Role Overview
The Corporate Governance Manager will be responsible for strengthening and maintaining the group’s governance environment, ensuring frameworks, policies, and documentation remain aligned with regulatory requirements, internal standards, and future growth needs.
Governance Frameworks
- Build, refine, and keep the group’s governance framework up to date in line with regulatory expectations and recognized best practices.
- Make sure governance structures remain suitable as the business expands and regulatory oversight becomes more demanding.
- Maintain governance manuals, committee charters, and related internal documentation.
Policies and Procedures
- Prepare, review, and refresh group-wide policies and procedures.
- Ensure policies are approved correctly, communicated effectively, and embedded into business operations.
- Promote consistent understanding and use of governance policies across all subsidiaries.
Board and Committee Governance
- Support governance arrangements for board and committee structures, including charters, mandates, and yearly calendars.
- Help ensure proper governance practices are in place at board and committee level as the organization grows.
- Assist with governance-related board and committee materials and disclosures.
Governance Implementation and Embedding
- Partner with business, legal, finance, compliance, and risk teams to integrate governance requirements into everyday processes.
- Support rollout activities, internal awareness, and practical adoption of governance frameworks and policies.
- Serve as an internal point of guidance for management on governance expectations and good practice.
Regulatory and IPO-Readiness Alignment
- Ensure governance documentation and frameworks stay aligned with applicable Saudi regulations and developing IPO-readiness expectations.
- Support engagement with regulators, auditors, and external advisors on governance matters.
- Contribute to governance disclosures needed for fundraising, regulatory filings, and future listing preparations.
Governance Monitoring and Reporting
- Track compliance with governance policies and frameworks across the group.
- Spot governance gaps, inconsistencies, or improvement areas and help coordinate corrective actions.
- Prepare governance reporting and updates for senior leadership and relevant committees.
