Role Overview
The Company Secretary ensures the smooth administration of corporate governance, regulatory compliance, and board proceedings within the company. This role manages statutory records, financial compliance, legal documentation, and supports accounting functions related to corporate governance.
Key Responsibilities
- Maintain strong relationships with internal and external stakeholders to facilitate smooth operations.
- Manage your own continual professional development with self-awareness and proactive learning.
- Lead safety by example and actively promote a positive safety culture within Thiess.
- Organize and prepare board and shareholder meetings including notice distribution, agenda setting, drafting minutes, and filings in accordance with corporate legislation and company protocols.
- Provide governance guidance to directors, ensuring compliance with the Companies Act, Memorandum and Articles of Association, shareholder agreements, and board procedures.
- Maintain statutory books and registers including directors, shareholders, charges, minutes, and debenture holders as per the Companies Act.
- Handle filings with authorities such as the Registrar of Companies, Ministry of Corporate Affairs, Reserve Bank of India, and financial institutions for compliance purposes.
- Draft and review legal documents including MOUs, NDAs, affidavits, indemnity bonds, and banking agreements.
- Liaise with auditors for statutory compliance audits and coordinate with financial authorities for tax, GST, TDS, service tax, and foreign investment filings.
- Manage company stationery compliance including registration details on communications and digital platforms.
- Oversee bookkeeping, purchase orders, vendor payments, and data entry in JD Edwards ERP system.
- Respond to income tax notices, prepare relevant documentation, and support audit processes.
- Generate periodic reports and coordinate with insurance providers and brokers for policy management and claim settlements.
Candidate Profile
- Qualified member of the Institute of Company Secretaries of India (ICSI); legal qualifications or commerce degrees (B.COM, M.COM) are advantageous.
- 4 to 5 years' experience in company secretarial and accounting functions with strong expertise in company law, taxation, banking, and audit.
- Independent, self-driven, results-oriented personality with strong planning and analytical problem-solving abilities.
- Detail-oriented with a clear understanding of compliance processes and stakeholder communication.
- Fluency in English with excellent interpersonal skills to engage with various internal and external stakeholders.
