Role Overview
Seeking a seasoned Corporate Advocate/In-House Legal Counsel responsible for independently overseeing the legal, contractual, compliance, corporate governance, employment litigation, and regulatory functions throughout the group’s companies.
Key Responsibilities
- Drafting, analyzing, and negotiating a broad range of commercial agreements including MoUs, NDAs, franchise and vendor contracts, customer and partnership agreements.
- Managing company incorporations, Registrar of Companies filings, and governance compliance.
- Providing legal counsel to directors and senior leadership on strategic business matters.
- Preparing Board resolutions, shareholder arrangements, and other corporate documents.
- Representing the company in civil, commercial, consumer, labour courts, and arbitral forums across India.
- Liaising with external legal representatives for litigation management.
- Drafting legal communications such as notices, petitions, affidavits, and recovery proceedings, including matters under the Negotiable Instruments Act.
- Handling recovery claims, employment disputes, and contract litigations.
- Supporting employment legal processes by preparing offer and appointment letters, employment contracts, HR policies, disciplinary documents, termination paperwork, and settlements.
- Advising on labor legislation, industrial relations, POSH compliance, and employee disciplinary procedures.
- Ensuring FinTech compliance with regulatory bodies such as RBI, NPCI, KYC, AML, data protection, and reviewing related banking and technology contracts.
- Drafting agreements related to software development, SaaS, API integration, licensing, website policies, data processing, IP assignments, and technology vendor contracts.
- Overseeing consumer law compliance and related dispute resolution for quick commerce and e-commerce platforms.
- Maintaining statutory compliance, coordinating legal audits, and monitoring regulatory changes affecting the business.
- Managing intellectual property registrations, brand protections, domain disputes, and legal due diligence processes.
Required Qualifications and Experience
- LL.B. degree is mandatory; LL.M. is preferred.
- Enrollment with the Bar Council of India and possession of a valid advocate enrollment certificate.
- 1 to 5 years of relevant experience in corporate legal practice.
