Corporate Counsel

Position Overview

Guess?, LLC is looking to hire a business-savvy Corporate Counsel to join its legal team at their Los Angeles headquarters. The role centers on licensing, advanced commercial contracts, technology-related matters, and emerging areas such as artificial intelligence. This is a full-time, on-site position reporting directly to the General Counsel.

Key Responsibilities

• Prepare, evaluate, negotiate, and oversee the entire lifecycle of a broad spectrum of commercial contracts, including domestic and international agreements involving technology, software, SaaS, AI, data, e-commerce platforms, and confidentiality clauses.
• Formulate licensing and distribution agreements for retail stores globally, along with third-party intellectual property collaboration contracts.
• Provide legal counsel for strategic technology partnerships and tools enabled by technology.
• Collaborate with the Global Privacy and Technology Legal Manager to guide technology governance, focusing on ethical use, risk assessment, policy development, and employee training.
• Lead the deployment of the global Contract Lifecycle Management (CLM) system by creating contract templates, procedural playbooks, clause databases, and designing approval processes.

Required Qualifications

• Juris Doctor (J.D.) degree and active membership in the California Bar.
• Between 7 and 9 years of pertinent experience working at top law firms or in-house legal teams.
• Exceptional skills in drafting, negotiating, and communication combined with sharp business acumen; capable of independently managing negotiations with stakeholders within a dynamic environment.
• Extensive experience with licensing consumer products and complex commercial contractual matters.
• Demonstrated expertise in crafting and negotiating sophisticated technology contracts, including SaaS, software, cloud services, and AI agreements.
• Experience with implementing or managing Contract Lifecycle Management platforms.
• Strong problem-solving abilities, consensus-building skills, accountability, sound judgment in uncertain scenarios, and comfort handling diverse responsibilities.
• Knowledge or background in consumer products, retail, fashion, or e-commerce sectors is advantageous.

The legal team at GUESS?, LLC manages global legal affairs including corporate transactions, SEC reporting, executive governance, contract management, litigation, and trademark licensing. The department partners closely with all business units and leadership to anticipate and mitigate legal challenges, operating with a highly collaborative and supportive culture. The team has recently been integral to significant corporate activities such as the acquisition of Rag and Bone.

Work Location and Salary

Location: Los Angeles, CA (World Headquarters)
Salary Range: $200,000 to $240,000 per year
